Share the right detail. At the right moment.
A considered route from a public introduction to a specific technical, commercial or investment discussion.
Research and commercial development | An introduction to the next useful conversation.
The information already open.
Confidentiality should support a useful conversation.
Our public pages explain the programme direction, the questions being investigated and the evidence that would make the next step valuable. Those materials are intended to help you decide whether a discussion is relevant. Reading them or asking an introductory question does not require an NDA.
A later exchange may need unpublished results, preparation details, commercial assumptions or a counterparty’s own confidential information. At that point the information has a purpose beyond general interest. We propose to agree that purpose before selecting the material to share.
Examine the development decision
Share the right detail. At the right moment.
Open the sequence to examine what a development decision needs.

Identify the decision behind the request.
A precise purpose helps both parties share less, more usefully.
A technical evaluator may need to assess a study package; an investor may need to examine the evidence supporting a proposed milestone; a potential licensee may need to review a specific application. These requests call for different documents and different people. A general wish to see everything is not a useful scope.
Please identify the legal entity involved, the roles of the intended recipients and the decision the information would support. The proposed disclosure can then be matched to that purpose. Initial contact should avoid formulas, private data, personal information or third-party confidential documents.
An agreement that fits the exchange.
No agreement is created by using the website.
The IPO advises identifying the permitted purpose and checking the parties and authorised signatories before confidential disclosure. It distinguishes one-way and mutual agreements according to who shares information (Intellectual Property Office, 2015). The appropriate form for a Bio discussion would be reviewed for its actual circumstances.
We have not published a new legal template through this rebuild. A suitable existing or counterparty agreement may be considered with legal review. The parties would confirm that it is properly executed before sharing the material identified as confidential.
Making the pack specific and accountable.
A useful record includes what the information can and cannot support.
The proposed pack would have a date, document owner, version and defined scope. A scientific result should retain its method, sample context and limitations. A commercial scenario should retain its assumptions. Giving a recipient a favourable figure without the information required to interpret it would weaken the discussion.
The company would record which materials were disclosed and to whom. Further recipients, supplementary requests and permitted use should follow the agreed process. A confidential discussion does not automatically confer a licence, an exclusivity right or permission to publish.
A potential advantage, with a defined use.
A defined application, a credible comparison and an asset with a route to transfer.
Protect research while making collaboration possible.
Publication plans belong in the project discussion.
Academic and industrial collaborators may bring their own background methods, funding conditions and responsibilities. The proposed research scope should identify the outputs each party needs and how publication or commercial review would work. Contribution and ownership cannot be inferred from who first proposed a meeting.
For a collaboration that may generate new knowledge, the parties should address background access, new outputs and the route to use them before the work begins. This is a project-design step, separate from any short confidentiality agreement used for initial evaluation.
Move forward with a clear reason.
Confidentiality is useful when it enables the next decision.
An agreed exchange could lead to technical diligence, a study scope, a commercial proposal or a decision that the opportunity is not currently a fit. Each is a useful outcome when it is based on an interpretable record and appropriate access.
Start with the public level and tell us what further question you need to answer. We can then consider the right document, conversation and confidentiality process. The aim is to advance a serious discussion while preserving the value of work that is not ready for open publication.
Scope a confidential technical or investment discussion.
A short, non-confidential introduction can outline the application, the current approach, and where scientific input could help. Scope and next steps would be agreed around the actual project.
